Sponsoring Foreign Investors
Having successfully established your PT PMA, you can now start sponsoring foreigners as investors or employees, which would require them to obtain an Investor KITAS.
But before doing this, you’ll need to obtain a Business Registration Number (NIB) and a Trading License through the government’s new Online Submission System (OSS). This would take approximately 30 days excluding Saturdays, Sundays and public holidays.
Steps To Establishing A PT PMA
A PT PMA requires at least two shareholders: a Director and a Commissioner. One of the shareholders must be a foreign individual or a foreign legal entity.
The Director must reside in Indonesia to oversee the company’s daily operations. The foreign Director who works and lives in Indonesia is required to obtain a Tax Number (NPWP) and a Work Permit (KITAS).
Setting Up a PT PMA
The Authorized Capital for a PT PMA must be a minimum of IDR 10,000,000,000 (ten billion rupiah). The Paid-Up Capital for the PT PMA is also a minimum of IDR 10,000,000,000 (ten billion rupiah).
To obtain an Investor KITAS:
- As a shareholder serving as the Director or Commissioner of the company, you must own at least IDR 10,000,000,000 (ten billion rupiah) or the equivalent amount in USD, as stated in the deed.
To obtain an Investor KITAP:
- As a shareholder serving as the Director or Commissioner of the company, you must own at least IDR 15,000,000,000 (fifteen billion rupiah) or the equivalent amount in USD, as stated in the deed.
Requirements for Setting Up a PT PMA
I. From Foreigners:
- Scanned color copy of passport (valid for at least 18 months).
- Phone number, email address, and address in your country of origin.
- CV or personal history.
II. From Indonesians (if applicable):
- KTP (Indonesian ID card).
- Personal Tax Number (NPWP).
- Phone number and email address.
III. From the Company:
- Proposed company name (minimum of 3 words).
- Description of business activities.
- Company address.
The following steps will be processed on your behalf:
- Begin the process.
- Verify and review your documents.
- Prepare the necessary documents.
- Check and register the company name.
- Sign the draft deed in front of a notary.
- Process the Articles of Association/Company Act.
- Process the SK Menhumkam/AHU approval.
- Process the Tax Number (NPWP).
- Submit to the OSS system.
- Obtain the Business License (NIB) through OSS.
- Process the PKKPR (Location Permit), previously known as the Domicile Letter (SKTU).
- Complete the process.
Opening a Company Bank Account
Once the company permit process is complete, you can open a bank account in the company’s name by bringing the necessary company documents. After the account is opened, the paid-up capital must be deposited into the company’s bank account.
A proof of deposit, along with a scanned copy of the bank account details, will then be sent to the notary.
Once the process is complete, you will receive:
- Deed of Establishment
- Approval from the Minister of Law and Human Rights
- Business Registration Number (NIB)
- Company Tax ID (NPWP)
- OSS Username and Password
Timeline:
Typically, it takes 30 working days (excluding weekends and public holidays) for an existing business to obtain an NIB (company registration and license) through the government’s new Online Submission System (OSS).
Reporting Obligations After Establishing Your Company:
Once your company is established, you are required to submit the following reports to the Indonesian Government:
- Corporate Tax Reports – Submit annual and monthly tax filings regarding the company’s pre-operation activities.
- LKPM (Laporan Kegiatan Penanaman Modal) – Submit an Investment Activity Report every 3 months.
