What is a PT PMA?

Requirements for Opening a PMA
To set up a PT PMA in Indonesia, there are a few basic requirements for both foreign and Indonesian individuals involved, as well as the company itself:
From Foreigners
- A colored passport scan valid for at least 18-30 months.
- Contact details: phone number, email address, and home address in the country of origin.
From Indonesian National
- KTP (Indonesian ID card)
- Personal tax number (NPWP)
- Contact details: phone number and email address.
From the Company
- A company name with at least 3 words.
- The business activities of your company.
- A valid company address.
Step-by-Step Process to Set Up a PT PMA
- Document Preparation: Start the process and verify the required documents.
- Company Name Registration: We will help you choose and register the company name.
- Deed Signing: Signing the company’s draft deed in front of a notary.
- Processing Articles of Association: We will handle the legal paperwork, including the Company Act.
- Obtaining Tax Number (NPWP): Processing your company’s tax registration.
- OSS Registration: Submit your documents through Indonesia’s Online Submission System (OSS) to obtain a Business Registration Number (NIB).
- Business License & Location Permit: Finalize your trading license and location permits.
- Open a Company Bank Account: Once permits are obtained, we’ll help open a company bank account and deposit the required capital.
Capital Requirements for PT PMA
The Authorized Capital and Paid-Up Capital required for a PT PMA in Indonesia is a minimum of IDR 10 billion. If you’re looking to obtain an Investor KITAS or Investor KITAP, here are the capital requirements:
- Investor KITAS: Ownership of at least IDR 10 billion as a shareholder and serving as a Director or Commissioner.
- Investor KITAP: Ownership of at least IDR 15 billion for long-term residency.
Timeline for Setting Up a PT PMA
On average, it takes around 45 working days to process the required documents and obtain your Business Registration Number (NIB) and Trading License (Izin Usaha) through the OSS.
Opening a Bank Account for Your PT PMA
Once the legal processes are complete, you’ll need to open a company bank account to deposit your paid-up capital. After opening the account, a proof of deposit will be sent to the notary to finalize the registration.
What You’ll Receive at the End of the Process
After completing the setup of your PT PMA, you’ll receive the following documents:
- Deed of Establishment
- Approval from the Minister of Law and Human Rights
- Business Registration Number (NIB)
- Company Tax ID (NPWP)
- OSS Username and Password
