What is PT Foreign Direct Investment Company (PT PMA)?

PT PMA (Perseroan Terbatas Penanaman Modal Asing or FOREIGN DIRECT INVESTMENT COMPANY ) is a limited liability company established under Indonesian law. Regarding foreign investment itself, the Investment Law defines it as an investment activity to do business in the territory of the Republic of Indonesia which is carried out by foreign investors, both those who use foreign capital fully and those who are associated with domestic investors.

Although both belong to the category of limited liability companies, PT PMA has a difference with PT in general. In PT PMA, both Foreign Citizens and Foreign Legal Entities can establish PT PMA in Indonesia. However, in some aspects of the business being carried out, PT PMA still needs Indonesian citizens and Indonesian legal entities to run their businesses. For example, provisions regarding the limit of foreign share ownership in the Negative Investment List (DNI) and regarding the position of personnel director who are prohibited from being occupied by foreign workers as stipulated in the Presidential Regulation of the Republic of Indonesia Number 20 of 2018.

PT PMA can be established with a minimum 2 (two) or more Foreign Individuals, Foreign Entities, Indonesian Citizens, and Indonesian Legal Entities are allowed to hold shares in PT PMA. PT PMA is the only allowed form of foreign direct investment in Indonesia by foreign investors.For shareholdersthe PT PMA is at least two shareholders are required (Director and Commissioner) for the establishment of a PT PMA. At least one of the shareholders needs to be a foreign individual (or foreign legal entity). The Director needs to reside in Indonesia to take care of all daily activities. The foreigner who works and resides in Indonesia is required to obtain a tax number (NPWP) and a work permit (KITAS).

The Basic Package of PMA Company Established

The Basic Package to set up  the PT. PMA company is perfect for you if you want to start the initial stage of preparation to start up a company and be visible in Indonesia, as you do not require YET to process all necessary licences to be able to sponsor your investor KITAS. This stage is called the Construction Stage.

In order to  establish PT PMA

  1. you  must decide what will be your business activities or business field. So we can check on the Indonesia Standard Industrial Classification and Negative Investment List.
  2. you must decide about the shareholder composition,
  3. who will be as a directors and as a commissioners, etc.

Once you have decided which line of business you will register. On your behalf, we will begin by processing all necessary documents required to start a company. This package will be enough to allow you to apply and begin the application for an Investor KITAS so that you will have the appropriate residence permit and may begin to prepare your office space and staff recruitment immediately. Because to be able to start sponsoring investors, you will need a Business Registration Number (NIB).

Please also note the requirements to obtain an Investor KITAS such as :

  1. The validity of the passport must be valid for 30 months at the time when we submit the application to apply the E-Visa if  you would like to apply for 2 years Investor KITAS (314) and 18 Months at the time when we submit the application to apply the E-Visa for 1 year Investor KITAS (313);
  2. As a shareholder and serves as a Director or Commissioner of the Company with the terms of Ownership of at least more than IDR.,00 (one billion rupiah) or the equivalent in United States Dollars stated in the deed ; or
  3. As a shareholder and not as a Director or Commissioner of the company provided that shareholder of at least more than IDR.,00 (one billion one hundred twenty-five million rupiah) or the equivalent in United States Dollars stated in the deed;

Once you are ready to process all necessary licenses to complete the process of the PMA Company Licenses, simply let us know and we’ll work to complete all remaining processes for you. For this process, we will direct you to the next process package to complete the permits required by BKPM depending on the business field that you will register.

It usually takes 45 working days excluding Saturday, Sunday and public holiday for an existing business to obtain a NIB and a Trading License through the government’s new Online Submission System (OSS).

Below the requirement to set up PT PMA Company as follows:

    1. Scan Colour passport minimum valid for 30 months if you want to obtain 2 years investor KITAS, 18 months if you would like to obtain 1 year investor KITAS;
    2. Phone Number, email address, address of your country of origin
  • FROM INDONESIAN: (if any)
    1. KTP;
    2. Personal Tax Code Number
    3. Phone Number, email address
    1. Name of the Company minimum 3 words;
    2. Business activities;
    3. Company address

  5. Drafting The Article of Association
  6. Signing the draft by the shareholders, the Board of Directors and Commissioners
  7. Processing of Article of Association/ Company Act
  8. Processing of SK Menhumkam/AHU
  9. Processing of Tax Number NPWP
  10. Processing of OSS & NIB
  11. Processing of the Business License by OSS
  12. Upload and submit all ready documents via the OSS.
  13. Processing Domicile Letter (SKTU)
  14. Process Completed for the basic package

Once the process is completed, you will get:

  1. Article of Association/ Company Act
  2. SK Menkumkam / AHU
  3. NPWP Company
  4. OSS Username dan Password
  5. NIB and others licenses from OSS
  6. SKTU or Domicile Letter

Open Company Bank Account

After the basic package is  complete, then by bringing the company documents above you are able to open a bank account under the company’s name, after opening a bank account paid-up the capital of the investment should be deposited to your company bank account, proof of deposit and colour scan of the bank account will be sent to a notary.
