What Is A PT PMA?

A PT PMA is an Indonesian legal entity that stands for Perseroan Terbatas Penanaman Modal Asing (Limited Liability Company with Foreign Direct Investment).

It’s basically a foreign-run company legally established in Indonesia owned and operated by foreign individuals or companies.

It’s the only way foreigners can have direct ownership of a business in Indonesia.

Requirements To Setting Up A PT PMA

There are many steps to complete towards establishing a PT PMA, let’s take a look at an overview.

Shareholders:

To set up a PT PMA, you’ll need at least two shareholders: a Director and a Commissioner. At least one must be foreign. The Director must live in Indonesia and, if foreign, is required to secure a Tax ID (NPWP) and a Work Permit (KITAS).

Paid-Up Capital

The Authorized Capital for a PT PMA must be a minimum of IDR 10,000,000,000 (ten billion rupiah). The Paid-Up Capital for the PT PMA is also a minimum of IDR 10,000,000,000 (ten billion rupiah).

Stay Permit

To qualify for an Investor KITAS, shareholders who are Directors or Commissioners must hold at least IDR 10 billion in shares.

To qualify for an Investor KITAP, the minimum shareholding is IDR 15 billion.

Documents

  • From Foreigners: Passport (valid 18+ months), contact details, CV.
  • From Indonesians (if applicable): KTP, NPWP, contact details.
  • From the Company: Proposed name (3 words or more), business description, company address.

PT PMA Set Up Process

The following steps will be conducted and handled on your behalf

  1. Document verification and preparation.
  2. Company name registration.
  3. Signing deed before a notary.
  4. Issuance of Articles of Association.
  5. Ministry of Law approval.
  6. Tax ID (NPWP).
  7. OSS submission.
  8. Business Identification Number (NIB).
  9. Location Permit (PKKPR).

After your licence and permits are approved, you can open a company bank account with the required documents and deposit the paid-up capital.
