Do you own a company here in Bali or elsewhere in Indonesia? If your business is registered as a PT (limited liability company), a massive compliance shift is coming that could completely freeze your operations.
The Indonesian Ministry of Law has issued a strict deadline to all PT owners: Your entire annual corporate reporting and AGM (also known as RUPST in Indonesian) must be finalized in the government’s system by 31 October 2026.
To beat this deadline, you have to complete three steps:
- Hold your annual shareholder meeting (AGM/RUPST)
- Have a notary formalise the minutes into an official deed, and
- Have them electronically submit the report to the Ministry via SABH (Sistem Administrasi Badan Hukum, or Legal Entity Administration System).
If this entire chain isn’t completed by October 31st, the government can lock your company out of the system – this means you won’t be able to update visas, change directors, or renew corporate bank accounts.
What is RUPST?
RUPST stands for Rapat Umum Pemegang Saham Tahunan, which translates to the Annual General Meeting of Shareholders (AGM).
It is the mandatory yearly meeting where shareholders formally approve the company’s financial balance sheets, profits, losses, and overall annual report.
Under the latest regulations, simply holding this meeting internally is no longer enough. The approval of your annual report must now be officially documented in a notarial deed and submitted electronically to the Indonesian Ministry of Law through their online corporate administration system, SABH.
Why Is This Time-Sensitive?
The Indonesian government knows that thousands of companies have skipped this electronic filing step in the past. Because of this, they provided a temporary transition window for companies to catch up on their paperwork.
That grace period officially ends on 31 October 2026.
Starting 1 November 2026, the Ministry of Law will begin issuing administrative sanctions. If you fail to comply, the government will restrict your access to the AHU corporate system.
The Real-World Risk to Your Business
Losing access to the AHU system is a major issue. It effectively freezes your company on paper. Without an active and compliant AHU record, you will be completely blocked from making critical business updates, including:
- Changing or appointing new directors and commissioners.
- Adding new investors or changing shareholders.
- Modifying your company’s business activities or address.
- Renewing essential corporate licenses and corporate bank accounts.
What Should PT Owners Do Next?
If you own or manage a PT or PT PMA in Bali or anywhere else in Indonesia, you need to audit your legal paperwork immediately. Make sure that:
- Your annual RUPST has been properly conducted and recorded.
- Your annual financial report has been formally approved by shareholders.
- This approval has been drafted into a notarial deed by a registered Indonesian notary.
- The notary has successfully uploaded and updated your data in the SABH system.
